Terms & conditions

These Terms and Conditions (the “Terms”) govern access to and use of the Distos platform, website, APIs, datasets, software, analytics, alerts and related services (together, the “Services”) provided by Distos. By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you confirm you have authority to bind that entity to these Terms.

Introduction

These Terms apply to all users of the Services, whether on a paid subscription, trial or free tier. They form a binding agreement between you (the “User”) and Distos.

2.

The Distos platform

Distos provides software and intelligence services for the UK financial services market. The Services include FCA Register data, company and people enrichment, AI-assisted classifications, search and discovery tools, market intelligence, prospecting and segmentation tools, alerts, watchlists, exports and APIs.

The Services are provided for informational and commercial intelligence purposes only and do not constitute regulatory, legal or compliance advice.

3.

Accounts and access

You must provide accurate registration information, keep your credentials confidential and ensure that any users you grant access to comply with these Terms. You are responsible for activity carried out under your account.

Distos may suspend or restrict access where it reasonably suspects misuse, where payment is overdue, where usage limits are exceeded or where there is a security or operational risk.

Subscription and payment

Paid subscriptions renew automatically at the end of each billing period unless cancelled in line with these Terms. Fees are billed in advance and are non-refundable except where required by law.

Distos may update pricing with reasonable notice. Non-payment may result in suspension or termination of the Services.

5.

Permitted use

Distos grants you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business use only. Permitted uses include search and analysis, exporting results within the agreed limits and applying the data to your sales, marketing, research and commercial decision-making.

You are responsible for ensuring your use complies with all applicable laws, including data protection and electronic marketing rules.

6.

Prohibited use

You must not, and must not permit others to:

  • resell, sublicense or commercially redistribute the Services or any data obtained from them, except as expressly permitted in writing;
  • scrape, crawl or use automated means to access the Services other than via permitted APIs;
  • reverse engineer, decompile or attempt to extract the source code or underlying models;
  • bypass or attempt to bypass technical restrictions, rate limits or access controls;
  • use the Services to build a competing product or dataset;
  • use the Services for unlawful, deceptive or abusive marketing; or
  • misrepresent any data, output or AI-generated insight as official FCA guidance, regulatory determination or compliance advice.
7.

Data sources and accuracy

The Services aggregate information from multiple third-party and public sources, including the FCA Register and Companies House. Despite our efforts to keep data current, information may be incomplete, delayed, inaccurate or out of date.

The Services are provided on an “as is” and “as available” basis. You are solely responsible for independently verifying any information before relying on it for material business or compliance decisions.

AI-generated insights

Certain features use AI and machine learning to classify, infer, summarise and enrich data. AI-generated outputs are probabilistic in nature and may contain inaccuracies, omissions or incorrect interpretations.

Accuracy is not guaranteed. Users should apply appropriate human review and verification before acting on AI-generated outputs.

9.

Regulatory and compliance disclaimer

Distos is not a regulated provider, legal adviser, compliance consultancy or official FCA service. The Services do not constitute regulatory, legal or compliance advice.

Users must verify regulatory information directly with the FCA before relying on it for compliance or authorisation purposes.

10.

Intellectual property

All intellectual property rights in the Services, including software, datasets, classifications, AI models and user interface, remain with Distos or its licensors. No rights are transferred to you other than the limited licence set out in these Terms.

You must not reproduce, distribute, modify or create derivative works of the Services except as expressly permitted in writing.

11.

Availability and support

Distos does not guarantee uninterrupted availability. We may modify features, update datasets, suspend functionality, perform maintenance or discontinue parts of the platform at any time and without liability.

Support is provided on the basis described in your subscription or order; no specific service levels apply unless agreed in writing.

12.

Confidentiality

Each party will protect the other’s confidential information and will not disclose it to third parties except where required by law or to advisers under equivalent obligations of confidentiality.

This obligation survives termination of these Terms.

13.

Data protection

Both parties will comply with the UK GDPR and the Data Protection Act 2018 when processing personal data in connection with the Services. Users are responsible for ensuring they have an appropriate lawful basis for processing personal data obtained through the Services and for contacting any individuals identified through them.

Distos acts as an independent controller of platform data unless otherwise expressly agreed in writing.

14.

Limitation of liability

To the maximum extent permitted by law, Distos excludes all implied warranties, conditions and representations. Distos will not be liable for indirect, consequential or special losses, or for any loss of profit, revenue, business, goodwill, data or anticipated savings.

Distos’s total aggregate liability arising out of or in connection with the Services is capped at the fees paid by the User in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

15.

Termination

You may stop using the Services at any time. Distos may suspend or terminate access immediately in the event of breach, overdue payment, suspected misuse or operational risk.

On termination, the licence granted to you ends and any outstanding payment obligations remain due.

16.

Changes to these Terms

Distos may update these Terms from time to time and will give reasonable notice of material changes. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

17.

Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
